Renounceable
rights issue of 48,006,847 new ordinary shares of RM0.25
each ("Rights Shares") together with
48,006,847 free new detachable warrants
("Warrants") at an issue price of RM0.25 per
Rights Share, on the basis of 36 Rights Shares together
with 36 free Warrant for every 17 existing ordinary
shares of RM0.25 each held in HARVEST ("Rights
Issue with Warrants");
Acquisition of 4
parcels of leasehold industrial land at a total purchase
consideration of RM5,370,000 to be satisfied entirely by
the issuance of 21,480,000 new HARVEST Shares at an
issue price of RM0.25 per new HARVEST share together
with 5,370,000 Warrants on the basis of 1 Warrant for
every 4 new HARVEST Shares issued ("Land
Acquisition"); and
Debts owing to the
bank lenders and statutory creditors of the HARVEST
Group to be partly settled by the issuance of 69,534,500
new HARVEST Shares together with 17,383,625 Warrants on
the basis of 1 Warrant for every 4 new HARVEST Shares
("Debt Settlement Scheme")

Kindly be advised that
HARVEST's additional 139,021,347 new HARVEST Shares issued
pursuant to the Rights Issue with Warrants, Land
Acquisition and Debt Settlement Scheme will be granted
listing and quotation with effect from 9.00 a.m.,
Thursday, 26 November 2009.
Kindly also be advised
that HARVEST's 70,760,472 Warrants issued
pursuant to the Rights Issue with Warrants, Land
Acquisition and Debt Settlement Scheme will be admitted
to the Official List of Bursa Securities, and the
listing and quotation of these Warrants on the Main
Market under the "Industrial Products" sector
will be granted with effect from 9.00 a.m., Thursday, 26
November 2009.
