The Capital Reconstruction comprising:-

1. share capital reduction pursuant to Section 64(1)(b) of the Companies Act, 1965 (“Act”) involving the reduction of the par value of each existing ordinary share of Harvest Court Industries Berhad (“HCIB”) from RM1.00 to RM0.25 via the cancellation of RM0.75 of the par value and the utilisation of the credit arising therefrom to set-off the accumulated losses of HCIB; and
      
2. reduction of the share premium account of HCIB of RM873,000 pursuant to Sections 64(1) and 60(2) of the Act and the utilisation of the credit arising therefrom to set-off the accumulated losses of HCIB.
